1. USE

By using the software and documentation contained

in this package (the "Product"), you (the "User")

acknowledge that Asteta, LLC ( the

"Author") granted the User a limited, non-exclusive,

nontransferable, nonsublicensable, personal license

to download, install and use the Product. Except for

making an archival copy of the Product, User may not

"Author") granted the User a limited, non-exclusive,

nontransferable, nonsublicensable, personal license

to download, install and use the Product. Except for

making an archival copy of the Product, User may not

copy, lend, rent, lease, transmit or otherwise

distribute the Product. User may not modify, adapt

or create derivative works based on the Product or

attempt to disable any password or other protective

devise that may be incorporated into the Product.

User may not decompile , disassemble or reverse

engineer the Product, except as and to the extent

that applicable law authorizes User to do so despite

this restriction. User will not use the products in

connection with any unlawful purpose ( including,

without limitation, intellectual property infringe-

ment, fraud or defamation).

2. DISCLAIMER OF WARRANTIES

Access to and use of the products is "as is". To the

maximum extent Allowable under applicable law, all

warranties, conditions, Representations, indemnities

and guarantees with respect to the Products, system

and services,whether express or implied, arising by

Law, custom, prior oral or written statements

( including, but not Limited to any warranty of

merchantability or fitness for particular Purpose

or non-infringement) are hereby overridden, excluded

and Disclaimed.

3. NO CONSEQUENTIAL DAMAGES

Under no circumstances will author be liable for any

consequential, Indirect, special, punitive or

incidental damages or lost profits, Whether

foreseeable or unforeseeable, arising out of breach

of express or implied warranty, failure of remedy,

breach of contract, Misrepresentation, negligence

or otherwise.

4. OWNERSHIP

All trademarks, service marks, patents, copyrights,

trade secrets and other proprietary rights in or

related to the products, are and will remain the

exclusive property of Author or its licensors,

whether or not specifically recognized or perfected

under applicable law. User will not take any action

that jeopardizes Author`s or its licensor`s

proprietary rights or acquire any right in the

Product, except the limited use rights specified in

the Section titled "Use". Nothing in this Agreement

grants User any right to receive updates, upgrades

or new versions of the Product, or any other support

with respect to the Product.

5. TERMINATION

User may terminate this agreement at any time by

deleting the product from User`s computers. Author

may terminate this agreement at any time without

notice if User breaches any term or condition of

this Agreement.

The provisions of the following Sections will

survive the termination of this Agreement:

"Disclaimer of Warranties", "No Consequential

Damages" and "Ownership".

6. ENTIRE AGREEMENT AND GOVERNING LAW

This Agreement states the entire understanding

between Author and User with respect to the Product.

It is governed by the internal laws of the State of

New Jersey, U.S.A. We agree to exclude the U.N.

Convention on Contracts for the International Sale

of Goods, if applicable and that any dispute between

Author and User regarding this License Agreement

will be brought only in the federal and state courts

for Bergen County, New Jersey, U.S.A.
